1. Acceptance of Terms

By accessing or using the services of 5127 ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, you may not use our services.

2. Description of Services

5127 designs, builds, and deploys artificial intelligence agents for businesses. Our services include voice AI, web chat, WhatsApp integration, knowledge base training, workflow automation, and ongoing monitoring and maintenance.

3. Use of AI Systems

You acknowledge that AI systems are probabilistic and may occasionally produce inaccurate, incomplete, or unexpected outputs. We make no guarantee that AI agent responses will be error-free in all circumstances.

You are responsible for reviewing and validating outputs where material decisions, compliance, or customer-facing communications are involved. We recommend maintaining human oversight for high-stakes interactions.

4. Intellectual Property

All intellectual property we create in the course of delivering our services, including software, configurations, prompts, and training methodologies, remains our property unless otherwise agreed in a signed written agreement.

You retain ownership of your proprietary data, documents, and business processes shared with us for the purpose of training and deploying your AI agents.

5. Confidentiality

We treat all client data, business processes, and proprietary information shared during engagement as confidential. We do not use your data to train third-party AI models without explicit written consent.

6. Service Commitment

For qualifying engagements, we offer a 30-day deployment commitment from the date of project kickoff. This commitment applies to standard-scope projects and is subject to timely client feedback and provision of required materials.

7. Limitation of Liability

To the fullest extent permitted by law, 5127 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you to 5127 in the twelve (12) months preceding the event giving rise to liability.

8. Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

Either party may terminate the engagement with thirty (30) days' written notice. Upon termination, you remain responsible for any fees incurred up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Toronto, Ontario.
